Biography

Dominic is a partner in the Kelowna – Landmark office of Lawson Lundell. He is a member of the Corporate Commercial, Real Estate, and Estate Planning & Litigation Groups. He has significant experience in general corporate and commercial matters; mergers and acquisitions; commercial lending; commercial, residential and resort developments; and inter-generational wealth and business transfers.

He provides legal counsel to a wide range of businesses and individuals. He has experience working with businesses at all stages of growth – from start-up through to expansion and divestment.

Community Activities

Dominic was instrumental in the founding of the Urban Development Institute’s (UDI) Kelowna Chapter in the early ‘90s. He has also served as a Director of the Kelowna Chamber of Commerce.

Dominic has served as the President of the Central Okanagan Foundation, the Central Okanagan United Way, and the Okanagan Symphony Society, and served as Chair of the Kelowna General Hospital Foundation. He is a former member of the Kelowna Salvation Army Advisory Board.

He is currently a Director of UDI Okanagan and the Kelowna Golf & Country Club.

Dominic has significant experience advising closely held private companies and enterprises in a variety of industries. Representative experience includes:

  • Acting on behalf of a developer, completing a $170 million syndicated loan facility.
  • Acting on behalf of a developer, completing multiple significant land inventory acquisitions involving complex limited partnership structures.
  • Acted as counsel in creation and development of the Kelowna Innovation Centre involving private and municipal, provincial and federal government participation and complex leased air parcel structure.
  • Lead counsel to various significant family enterprises in the negotiation and completion of inter-generational shareholder agreements.
  • Lead counsel to various significant family enterprises in the negotiation and division of enterprise assets through complex tax driven transactions.
  • Continuous representations to numerous commercial landlords in preparing both standard and complex retail and industrial leases.
  • Continuous representation to numerous joint venture clients regarding purchase and sale of joint venture interests, formation and modification of joint venture agreements.
  • Representing a client in the acquisition of shipping container repair business in the Port of Vancouver.
  • Representing a family enterprise in the sale of $50 million of business assets.
  • Representing numerous high net worth individuals and couples in structuring of their estate plans, including complex will arrangements, family trusts, alter ego trusts and joint partner trusts.
  • Representing numerous financial institutions in securitizing commercial loan facilities in British Columbia, other Canadian provinces and the U.S.
  • Representing founders in the start-up, expansion and eventual negotiation and sale of a US $700 million technology company.
  • Representing developers in the acquisition and development of a number of significant resort developments at Big White Ski Resort.
  • Representing a developer in the structuring and development of a large scale, long term lease, adult oriented retirement community.
