Cecilia Barnes

Cecilia is Counsel in Lawson Lundell’s Corporate Commercial and Technology Group. She is a commercial lawyer who specializes in technology transactions, the commercialization of intellectual property, artificial intelligence, and privacy and data security.

Cecilia advises companies across a broad range of industries, on complex commercial arrangements and the integration and scaling of technology-driven solutions. Her practice focuses on drafting and negotiating SaaS, licensing, and outsourcing agreements, structuring strategic partnerships, and advising on data use, AI-enabled solutions, and regulatory compliance, particularly in regulated and data-intensive environments.

Cecilia brings a unique combination of in-house, operational, and private practice experience. She spent several years in-house at a leading company, where she advised on a broad range of commercial and employment matters and supported the company’s technology and digital initiatives, including strategic acquisitions. She later served as Legal Director of a technology company, where she led legal strategy for product development, commercialization, and partnerships. This experience gives Cecilia a practical understanding of how technology is evaluated, implemented, and scaled within operating businesses.

In private practice, Cecilia has acted on a wide range of commercial transactions across industries, with a particular focus on healthcare and data-driven platforms. She regularly advises on the commercialization of intellectual property, technology procurement and deployment, and the legal frameworks required to support innovation, including in emerging areas such as artificial intelligence.

Cecilia is recognized in Best Lawyers: Ones to Watch in Canada and was named a CAN‑TECH Law Rising Star in 2025. She serves on the Board of Directors of the Canadian Technology Law Association (CAN‑TECH Law), Canada’s leading organization for technology law practitioners and is the President of the Canadian Association of Black Lawyers, BC Chapter.
