Biography

Jisoo is a business lawyer and member of the firm’s Asia Pacific Group, Corporate Commercial Group, and Estate Planning Group.

Jisoo maintains a general business practice with a particular emphasis on implementing corporate structuring and reorganizations ultimately to address the needs of high-net-worth business owners and their families.  Jisoo routinely prepares limited partnership agreements, shareholders’ agreements, share purchase documents, purchase and sale agreements, and complex trust indentures in connection with such practice.  She has also assisted in share and asset purchase transactions, corporate governance and general corporate law matters.  Her general corporate practice has intersected with the real estate, technology, hospitality, restaurant, construction and engineering sectors.

Jisoo has led sizeable teams on, and has assisted with, acquiring, selling and financing real property in various asset classes, including shopping centres, industrial lands, office buildings, and residential apartment buildings. 

Jisoo also has experience in estate planning, probate and estate administration matters with varying degrees of complexity.

Jisoo is able to provide legal services in Mandarin Chinese, and can also communicate effectively in Korean. Having lived in various countries growing up, Jisoo has a multicultural background that informs her practice of law in interacting with clients in Vancouver, one of the world’s most multicultural cities.

Jisoo is actively engaged in her community. She dedicates her talents to serving newcomers to Canada and the alleviation of poverty. She has provided pro bono advice to organizations and individuals, including a society that facilitates opportunities for newcomer immigrant women to establish small business enterprises.

Experience

General Corporate & Trusts and Estate Planning

  • Leading associate-level support for the establishment of corporate and trusts structures for holding interest in various types of businesses (such as construction, marketing and property management companies) and commercial and residential properties throughout the B.C. Lower Mainland (aggregate value of underlying assets have ranged from $20,000,000 to over $1 billion).
  • Assisting with advising on implications of rollovers under section 85, 86 and 97(2) of the Income Tax Act as part of corporate and trusts structuring.
  • Leading associate-level support for negotiating and finalizing a contract for a blockchain technologies company to outsource manufacturing of bitcoin miners to an offshore location.
  • Preparing a Canada-only will for an individual holding commercial real estate in Vancouver assessed at an aggregate value of CAD$150,000,000, with discretionary trusts in the will established for successive generations.

Real Estate

  • Leading the acquisition of a commercial air space parcel for $30,000,000 with complex cost-sharing arrangements with a neighbouring strata corporation, which transaction involved negotiating and preparing security to secure the vendor’s performance of certain obligations.
  • Leading associate-level support in an acquisition of development lands in British Columbia for a purchase price of $130,000,000.
  • Leading extensive due diligence for a prospective purchaser of a 9-acre industrial site in reviewing options for limiting potential liability resulting from existing contamination.
