Michael practices corporate and commercial law with a focus on the mining and resource sectors. He advises public and private companies on a broad range of mining-sector transactions, including capital markets financings, mergers and acquisitions, corporate reorganizations and restructurings, and strategic commercial arrangements. Michael also regularly advises mining issuers on corporate governance and securities regulatory matters, including shareholder meeting processes, securities law compliance and stock exchange listing requirements.
Michael has particular experience advising mining and other resource companies across Canada on Indigenous, project development and commercial matters throughout the project life cycle. His work includes negotiating and drafting funding agreements, exploration agreements, impact benefit agreements and other commercial arrangements with Indigenous groups in connection with the exploration, development, construction and operation of mining and energy projects. He also advises on permitting, regulatory and project implementation issues that arise as projects advance.
