Lana practices corporate and commercial law with a particular emphasis on energy, Indigenous and environmental law. She works with public and private companies in a wide range of industries, including mining, energy, natural resources, technology and manufacturing.

Within her corporate and commercial energy law practice, Lana negotiates and structures complex commercial arrangements for hydroelectric utilities and energy companies, including tariff arrangements, power purchase and sale agreements, and renewable energy credits. She also conducts a variety of transactions, including asset and share acquisitions and dispositions, reorganizations and various other corporate proceedings, and advises public companies on regulatory matters, continuous disclosure and corporate governance practices.

Lana’s Indigenous and environmental law practice involves assisting clients with the negotiation of impact benefit and other agreements with Indigenous groups in relation to proposed developments in the energy and mining industries and other sectors, as well as permitting and regulatory matters that arise throughout the development of both large and small projects. She also provides assistance in obtaining, amending and transferring environmental and other authorizations issued by federal and provincial regulatory authorities.

Representative transactions and experience include:

  • Leading negotiations of benefits agreements with local area First Nations and Métis for an international mining company in respect of its development-stage project in northwestern Ontario, including coordination of contracting commitments to First Nations with corporate procurement processes 
  • Leading early-stage negotiations of benefits arrangements, including capacity funding and confidentiality agreements and traditional knowledge protocols, with First Nations for an international mining company in respect of its exploration/development-stage project in the interior of British Columbia
  • Advising hydroelectric utility in regard to impact benefit agreement negotiations with First Nations and general commercial matters, including matters relating to the negotiation of power purchase and other related agreements, tariff arrangements with industrial load customers, and advice on corporate governance matters and best practices
  • Advising a western North American energy marketer with general commercial matters, including negotiating and drafting commercial energy contracts with Canadian and US counterparties and agreements to purchase and sell “green attributes”, Renewable Energy Credits (RECs) and GHG credits from renewable generation 
  • Advising a public utility developing a 40-50 MW hydroelectric project in partnership with a First Nation 
  • Advising an international mining company on negotiation of benefits arrangements with First Nations in respect of the company’s development-stage project in the interior of British Columbia
  • Advising an international energy company on negotiation of early-stage agreements and benefits arrangements with First Nations in respect of a proposed liquefied natural gas (LNG) project in British Columbia
  • Advising on and negotiating long-term shipping arrangements for a bulk terminal with its Canadian and US customers
  • Advising a geoscience organization on general commercial matters
  • Negotiating business arrangements between First Nations and businesses in the transportation and aquaculture industries, including joint venture agreements and cooperation agreements
  • The corporate reorganization by an international energy company of its Canadian operations
  • The acquisition by a Western Canadian mining company of a coal property in British Columbia
  • The sale of a specialty metals distribution and processing business with operations in Western Canada and the United States
  • The sale by a fuel cell developer of its automotive business (representing the Special Committee)
  • Private placements of $80 million of equity and convertible debt by a Western Canadian mining company
  • The acquisition of port terminal facilities by an infrastructure fund of a global financial institution
