Biography

Andrew has a general corporate and commercial law practice, with a particular emphasis on banking and debt financing, mergers and acquisitions, air transportation and the education sector. He assists clients in successfully planning, negotiating and implementing a broad range of business and commercial transactions.

Andrew works with clients in numerous industries and sectors, including banking and financial services, manufacturing, education, natural resource exploration and development, service industries and air transportation. He has considerable experience with a wide range of complex and sophisticated business and commercial matters, including debt financings, the purchase and sale of businesses, procurement and tendering matters, share transactions, equipment financing and leasing, joint ventures and partnerships, governance matters, regulatory compliance, outsourcing, aviation-related matters and international business ventures.

Andrew frequently represents both lenders and borrowers on a broad spectrum of debt financing transactions, including complex multijurisdictional financings for public companies and loans from private investors and institutional lenders.

Experience

Experience

  • Represented Onex Corporation on its $5 billion acquisition of WestJet Airlines Ltd. in respect of debt financing, including the creation and structuring of security
  • Advising a major Alberta-based financial institution on its financing of a broad range of businesses, with loan amounts to date in excess of $50 million, including credit facilities for oilfield service companies, a mountain resort, residential and commercial developments, and a Metis community in Northern Alberta 
  • Frequently representing oilfield service companies on their debt financing needs, including establishing, managing and renegotiating credit facilities with banks, other institutional lenders and private lenders
  • Advising private aircraft and aircraft engine leasing companies on the acquisition, purchase and sale, and financing of aircraft, aircraft engines and parts
  • Representing a major Calgary-based oil and gas company on its term and revolving loan credit facilities in excess of $200 million, letter of credit requirements and other debt financing needs, including financing for the construction of a pipeline and related oil and gas facilities in South America
  • Advised a major Alberta school board on regulatory compliance, governance matters, contractual matters, procurement and tendering matters, joint ventures and partnerships, and privacy issues
  • Representing a major Alberta post-secondary polytechnical institution on a variety of commercial matters, including service contracts, donations, commercial real estate development, and intellectual property matters
  • Advised a major Japanese trading company on its acquisition of a Calgary-based tubular products distributor 
  • Acted for a major Canadian ski resort in connection with the renegotiation and renewal of its approximately $30 million credit facilities 
  • Represented a major Canadian oil and gas company on a $140 million acquisition by way of a plan of arrangement 
  • Acted for a major automobile leasing and finance company in connection with the implementation and maintenance of a $70 million secured credit facility and separate securitization program
  • Represented a regional helicopter company with respect to its commercial matters, including the leasing, financing and acquisition of helicopters, and acquisition of airport premises 
  • Acted for a major Alberta oilfield service provider in the negotiation and implementation, and subsequent renewal, of its credit facilities with a major Canadian chartered bank with a loan value of approximately $35 million 
  • Represented a storage company in the negotiation and establishment of its approximately $25 million credit facilities with a major Canadian chartered bank 
  • Acted for a major Canadian mining company in a transaction expected to have capital cost in excess of $5 billion
  • Represented a private lender in providing credit facilities for mining projects in Canada and internationally
  • Acted for a major Canadian airline on the subleasing of its fleet of Airbus A340 aircraft to airlines in Europe and South America
  • Represented a major Canadian airline on the finance leasing of aircraft in its fleet, including with respect to new leases, and the novation and refinancing of existing leases
  • Acted for a major Canadian regional airline on the leasing of aircraft engines
