Biography

Amaan has a practice focused on mergers and acquisitions, private equity transactions, technology and privacy laws, and general corporate law. He acts for a broad range of clients from start-ups and venture financed businesses to large private and publicly-traded corporations, across various industries including retail, manufacturing, technology, insurance, automotive and forestry. 

The most significant portion of Amaan's practice involves advising Canadian and foreign buyers and sellers in share and asset sales and acquisitions (including in competitive auction processes and complex multinational transactions). As a part of his corporate and commercial practice, he also regularly drafts, negotiates and advises on contracts relating to ongoing business matters and operations. As a part of his technology and privacy practice, he has experience helping clients implement compliance programs with respect to Canadian privacy and anti-spam legislation.

Amaan's breadth of experience enables him to assist clients at every stage of their business-cycle, whether it be advising on: the initial structuring (or subsequent restructuring) of the organization (i.e., shareholder agreements, partnership agreeements, and joint venture agreements); the growth stage of the business and implementation of key contracts and documentation critical to its ongoing commercial operations (i.e., services and supply agreements, licensing, employment agreements, option plans, privacy policies and website terms and conditions); or guiding businesses through a variety of commercial transactions (i.e., mergers and acquisitions, capital raising, strategic business combinations and dissolutions). 

Prior to joining Lawson Lundell, Amaan was an associate in the Toronto office of one of Canada’s leading national firms where he developed a transaction-oriented practice with an initial focus on syndicated lending, asset based lending and P3 projects.

  • Sale of assets of a multinational industrial product manufacturing and distribution company in the automotive industry to a global leader in the industry
  • Acquisition of the shares of an international electronics manufacturer and distributor based in British Columbia by a strategic international purchaser 
  • Acquisition of shares of a multi-national retailer in the health and wellness industry by one of North America's largest private equity funds 
  • Asset sale involving the divestiture of retail gas stations by a multinational energy corporation
  • Purchase of shares of one of Canada's largest fitness companies 
  • Sale of one of the world's largest plastics manufacturing and distribution businesses to one of the world's largest chemical companies in respect of Canadian matters 
  • Purchase of shares of a rehabilitation and employment solutions company based in British Columbia by an Eastern Canadian private equity fund
  • Acquisition of shares of a group of regional insurance brokerages by a large Western Canadian insurance brokerage 
  • Sale of shares of a private vocational training institution by an American based education management company
  • Acquisition of shares of a manufacturer of industrial safety products by a global industry leader
  • Sale of assets of a North American specialty foods manufacturing and distribution company by an Eastern Canadian private equity fund
  • Purchase of assets of a full service contractor in the railway industry by a British Columbia based private equity fund
