The lawyers practising in the Corporate Finance and Securities Group are experienced in a broad range of financing alternatives and vehicles, both public and private, including income funds, energy trusts and real estate investment trusts. We advise issuers, lenders, underwriters, trustees, venture capital and private equity funds, investment counsel and mutual fund advisers and other market participants on all aspects of the capital markets, including both transactional and securities regulation matters. Our clients include many of Canada's leading companies active in the forestry, mining, energy and industrial sectors as well as companies active in technology industries, as well as regional, national and international investment dealers. Many of our issuer clients are based outside of western Canada.
Examples of our work include:
initial and other public offerings, private placements and other securities offerings for issuers and underwriters;
domestic and cross-border equity and debt financing (including both high-yield and conventional debt) and cross-border finance for issuers and underwriters;
advising on stock exchange procedures and legal requirements including obtaining listings on the TSX and TSX-V exchanges, as well as foreign stock exchanges including the NYSE, NASDAQ, AIM, NYSE Euronext and the Australian and New Zealand stock exchanges;
creating specialized, structured financing vehicles such as income and energy trusts;
advising institutional clients such as fund managers and public sector entities on fund formation, compliance and governance, and transactions involving portfolio securities;
advising on securities regulation and compliance, including requirements for proxy solicitation, financial and other annual and periodic reporting and insider reporting.
Members of the Corporate Finance and Securities Group also have experience in mergers and acquisitions in the public company arena, including acting for acquirers and targets in negotiated and non-negotiated take over bid transactions, plans of arrangement and similar transactions, both domestic and cross-border.
