Banking & Insolvency Law

The members of Lawson Lundell's Banking & Insolvency Group are recognized leaders in their fields, often speaking or writing on topics of interest to the financial services industry and the business community. We are supported by a large team of paralegals and legal assistants, using cutting edge technology (including software specifically developed for the firm), to meet our goal of providing responsive, sophisticated and cost-effective legal services in Western Canada and the North to local, national and international clients.

Where a matter touches on other areas of law or requires a detailed knowledge of a particular industry, we use the legal skills and business knowledge of other Groups in the firm to ensure that the solutions we provide are both comprehensive and practical.

Our Banking lawyers act for a wide variety of clients, ranging from traditional lenders such as banks, trust companies, credit unions and insurance companies to other financial service providers such as equipment lessors, merchant banks and mezzanine lenders, as well as for our corporate clients who are borrowers or otherwise need to deal with credit or security matters in the course of their business (e.g. security on wholesale inventory sales, negotiation of swap or other derivative contracts, etc.). They would typically deal with such matters as:

  • operating and term loan facilities;

  • acquisition, development and permanent financing for commercial and residential real estate projects;

  • project financing;

  • regulatory and compliance matters;

  • equipment leasing and financing;

  • guarantees and security on real and personal property for debt obligations;

  • private placements of debt;

  • syndicated loan transactions;

  • renegotiation and restructuring of debt;

  • letters of credit and other aspects of import/export financing;

  • interest rate, currency, credit and commodity swaps and all other types of derivative contracts;

  • preparation or review of forms of credit documents to be used in a client's business;

  • asset and mortgage-backed securitizations;

  • cross-border lending transactions;

  • priority and subordination agreements;
