Amy is a solicitor practicing corporate and commercial law with a focus on the renewable energy industry. She has significant experience advising businesses at all stages of corporate proceedings and commercial transactions, including buying and selling businesses, key assets and equipment, constructing new facilities, and investing in private companies and partnerships, as well as negotiating and drafting complex commercial contracts.

Amy enjoys assisting the Firm’s clients to achieve the best results by providing practical and timely advice.

Recently, she has represented clients with the purchase and financing of a wind power generation facility, the purchase and sale of renewable energy including renewable energy credits and other green attributes (custom agreements as well as confirmations pursuant to the WSPP, EEI and ISDA agreements), and the negotiation of capacity funding, consultation and impact benefits agreements with First Nations in relation to proposed developments in the energy and other industries.

  • Advising a real estate development company on the completion of its first investment in a renewable energy project, involving the acquisition and financing of a wind power generation facility and numerous commercial agreements regarding development, construction and operation; for further details click here
  • Advising a leading power marketing and trading company in connection with custom agreements regarding the sale of renewable energy credits and other green attributes associated with the generation of renewable energy (based on WSPP, EEI or ISDA forms of agreements)
  • Advising a regulated utility in connection with agreements regarding consultation with First Nations and accommodation of their interests with respect to proposed developments potentially affecting their asserted rights, title or other interests, including capacity funding, consultation and impact benefit agreements
  • Advising a regulated utility in connection with commercial transactions, including with respect to the disposition of certain assets to an independent operator
  • Representing a major regional transportation authority and other owners and proponents in preparing requests for proposals and responses for large construction and infrastructure projects and equipment purchases
  • Advising a national railway in connection with the use of its property for telecommunications and related infrastructure, including fibre optic cables, conduit and wireless facilities pursuant to leases or license agreements
  • Representing a large forest products company and other clients in connection with EPCM contracts and other contracts for the design, manufacture, construction and installation of industrial facilities, including contracts based on CCDC forms
  • Drafting industrial equipment supply contracts and standard forms of purchase orders and terms and conditions
  • Drafting purchase and sale agreements and other required documentation regarding the purchase and sale of businesses and managing the closing process and completion of the transaction
  • Advising individuals and companies respecting their investments in private companies or partnerships, including preparing and reviewing shareholder agreements for privately held companies and partnership agreements
  • Working with financial, tax and other advisors to implement corporate reorganizations and other corporate strategies and proceedings
